I just did a google search for the reg card and pulled up this info:
Apply Now
2 Points per $1 on Dining, 1 point per $1 on all other purchases*
Direct Access to expert service advisors anytime
No Annual Fee †
25,000 Bonus Points after spending $3,000 in the first 3 months*
You were thinking of downgrading instead of paying the annual fee?

What do you use the points for?
As soon as you close the Preferred card, you'll lose the ability to transfer points (to airlines or hotels), which (depending on how you then use the miles or hotel points) may be the best value you can possibly get out of Ultimate Rewards.
That's why, if that's what you're after, but you're stingy about annual fees, I suggest getting Freedom first, using it for some time especially in the rotating categories (where you earn 5x), and then, when you've accumulated a lot of points you want to transfer, only then get the Preferred.
Earning is better on the Freedom. Redemption is better on the Preferred. But you obviously have to earn before you can redeem, and that's why I suggest getting Freedom first and Preferred only when you need to redeem.
(But if you have no interest in the airline miles or hotel points Preferred can transfer to, then it doesn't matter much which order you do it in.)
But timing of closing existing card vs opening new cards may still matter: You have to keep your Ultimate Rewards account open (unless you're drained it already). Will they keep your existing UR account open if you close Preferred first and then don't open another UR card at the very same time?

I got this on a targeted 100,000 bonus point (with 500 spend in 3 months) this Fall. The card is nice, especially if you work the UR Shopping portal, and getting paid a grand to get the card wasn't bad.
I wouldn't go for 25,000--I'm sure if you wait something a little better (like 50,000) will come around.
