I have 59K points and Continental.com is giving me an option to upgrade (Waitlist) for 20K points plus 450$ one way from EWR-CDG, so 2 tix would be 40K points you would think? but the website spits out a message saying not enough miles and gives me option to buy the miles

How many miles does it think you need to buy? Any chance it is trying to upgrade the round trip rather than just one direction?

I'm already in waitlist for CDG-EWR, those miles were deducted and CC charged. It was their system that suggested I have 59K use 20+20 to upgrade. Guess a call is due.

I suspect this is the cause of the confusion - I've seen CO.com do really weird things when one segment is already upgraded and I try to look at my options for the other leg. Definitely worth calling.
