Whos contract of carriage apply in this case? (and another question).

Reading TG's cancellation of JFK-BKK non-stop flight, I started to wonder who's contract of carriage applies when I redeem an award seat on partner carrier.
In the case of TG, if one has a reservation made on 016 stock (using UA MP miles), but if the travel is entirely on TG (let's just say he's simply flying JFK-BKK-JFK), then whos contract of carriage apply?
Also, when one redeems an award seat, does mileage program rule or general contract of carriage comes first?
I am asking this because while mileage program states that the carrier is not liable for it's or its partner's cancelling the route when redeeming mileage award.
But in contract of carriage, it states something like the carrier will try to find an alternative to pax's satisfaction.
