NO PURCHASE NECESSARY. The Constant Gardner Sweepstakes (the "Sweepstakes") is open to legal residents of the 48 contiguous United States and the District of Columbia, with Internet access as of August 14, 2005, and at least 21 years of age or older at time of entry. Employees and their immediate families (spouses, siblings, children, household members and the spouses and children of the foregoing) of Cable News Network LP, LLLP (the "Sponsor"), Focus Features, Trafalgar Tours and their respective parents, subsidiaries, divisions, trustees, franchisees, participating vendors, distributors, advertising or promotion agencies and affiliated agencies (the "Sweepstakes Entities") are not eligible to enter the Sweepstakes. By entering the Sweepstakes, participants agree to abide by all terms of the Official Rules and Regulations applicable thereto. Subject to all federal, state and local laws and regulations. Some restrictions apply. Void wherever prohibited or restricted by law.

HOW TO ENTER. The Sweepstakes runs from 12:01 AM Eastern Time ("ET") on August 15, 2005 - 11:59 PM ET on August 26, 2005 (the "Promotional Period"). During the Promotional Period, click on the Sweepstakes banner at www.cnn.com/enterntainment ("Entry Site") and register for the Sweepstakes by including name, address, phone number, e-mail address (if applicable), and birth date. Limit one (1) entry per person per day. Use of any automated entry software is prohibited. If a dispute arises about who submitted an online entry on the Entry Site, the entry will be deemed submitted by the authorized account holder of the e-mail address entered. The authorized account holder is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry and that all eligibility requirements are met. If a dispute cannot be resolved to Sponsor's satisfaction, the entry will be deemed ineligible. No mechanical reproductions or facsimiles accepted. Sweepstakes Entities are not responsible for incomplete, misdirected, lost, late or illegible entries. Sweepstakes Entities are also not responsible for technical, hardware or software failures of any kind, lost or unavailable network connections or failed, incomplete, garbled or delayed software transmissions which may limit an entrants ability to participate in the Sweepstakes or damage to user's system as a result of participation in the Sweepstakes or downloading any information necessary to participate in the Sweepstakes. Sponsor reserves the right in its sole discretion, to cancel or modify the Sweepstakes should any computer virus, malfunction or other cause beyond their control corrupt the administration, security or proper operation of the Sweepstakes. All entries become the property of the Sponsor and will not be acknowledged or returned. False or deceptive entries or acts, as determined by Sponsor, will render the entrant ineligible.

HOW TO WIN. One (1) grand prize winner ("Grand Prize Winner") will be randomly chosen from all eligible entries received, by an independent fulfillment agency on or about August 27, 2005. Odds of winning depend on the number of eligible entries received. The decisions of the independent fulfillment agency will be final and binding. Grand Prize Winner must meet all eligibility requirements including the execution and delivery of all necessary releases. If a dispute arises regarding who submitted an on-line entry, the entry will be deemed submitted by the holder of the e-mail account as determined by Sponsor. The potential Grand Prize Winner will be notified by phone or e-mail. If potential Grand Prize Winner cannot be reached within two (2) days, potential Grand Prize Winner will be disqualified and an alternate potential Grand Prize Winner selected. If potential Grand Prize Winner chooses to decline the prize for whatever reason, he/she will be disqualified and an alternate Grand Prize Winner selected. This process will be repeated until Sponsor reaches a potential Grand Prize Winner by telephone or e-mail and such potential Grand Prize Winner accepts prize.

PRIZE. One (1) Grand Prize Winner will receive an Italian holiday tour land trip for two (2) to Rome, Venice, Italian Lakes and Florence, Italy (the "Trip"), which includes the following: (i) round trip coach airfare from the major U.S. gateway airport nearest Grand Prize Winner's residence to Rome Italy; (ii) 8 days/7 nights hotel accommodations of Sponsor's choosing, one (1) room, double occupancy; (iii) multi-lingual tour director; air-conditioned motor coach with reclining seats and bathroom; (iv) two (2) tickets to either the 2005 premier of the Constant Gardener on September 9, 2005 at the Venice International Film Festival, or tickets to a premier at the 2006 Film Festival, if travel dates coincide with either the 2005 or 2006 Venice International Film Festival; and (v) transportation to and from the Rome airport. The approximate market value of the Trip is Four Thousand Six Hundred Eighty Dollars ($4,680).

The reporting and payment of any tax liabilities incurred by the winner as a result of this Sweepstakes and any prizes won are the sole responsibility of the winner. No substitution or transfer of prize or parts thereof or cash redemptions permitted by Grand Prize Winner. The Sponsor reserves the right to substitute a prize of like value in the event the described prize, or any portions thereof, is unavailable for any reason whatsoever. The prize will be awarded.

GENERAL RULES AND REGULATIONS. By entering the Sweepstakes, participants grant Sponsor the right, unless prohibited by law, to use their names, voices, pictures and likeness, without compensation, for the purpose of advertising and publicizing the goods and services of Sponsor and all matters related to the Sweepstakes in any manner or medium, throughout the world in perpetuity. If Grand Prize Winner elects to attend the 2005 Venice Film Festival, Grand Prize Winner and guest, (or Grand Prize winning parent or guardian if guest is under 18 years old) ("Minor"), will be required to sign and return to Sponsor notarized affidavits of eligibility, tax acknowledgment forms (if applicable), liability releases and, except where prohibited by law, uses of name and likeness releases (collectively "Release Documents") within 24 hours of Grand Prize Winner's receipt. If Grand Prize Winner elects not to attend the 2005 Venice Film Festival, Grand Prize Winner and guest will be required to execute and return the Release Documents within ten (10) days of receipt. If the guest is a Minor, the Minor will not be allowed to participate in any portion of the Grand Prize travel without being accompanied by Grand Prize winning parent or legal guardian. Return of the prize or prize notification as undeliverable, failure of Sponsor to contact winner based on contact information provided at registration, failure of potential winner to respond to notification attempts, failure of potential winner to complete and return Release Documents within respective time period, or decline of Grand Prize by potential winner, will result in disqualification, and an alternate may be selected at the Sponsor's discretion. By entering, participants agree to release the Sweepstakes Entities from any and all liability claims or actions of any kind whatsoever for injuries, damages or losses to persons and property which may be sustained in connection with the receipt, ownership or use of the prize, or while preparing for, participating in, and/or traveling to any prize-related activity. Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carrier(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. The Sweepstakes Entities expressly disclaim any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the prize awarded, including loss or damage to baggage. In the event more winner notifications are issued, or more winning prize claims are received, than the number of prizes set forth in these Official Rules due to computer, printing, seeding, human, or other error or problem, a random drawing will take place from all eligible prize claims for the prize(s) at issue to award the proper number of prizes as set forth in these Official Rules.

Grand Prize Winner is responsible for all travel documentation, including having a valid passport, visas and other documents required to enter the country of Italy. Grand Prize Winner will need to select three preferred dates to take Trip after he/she has been selected the Grand Prize Winner. Grand Prize Winner must complete the trip by September 30, 2006 or by the end of the 2006 Venice International Film Festival, whichever is later, or otherwise forfeit any claim to such prize package. The preferred dates of the Grand Prize Winner will be dates that best coincide with either the 2005 or 2006 Venice International Film Festival. If Grand Prize Winner takes the trip and is in Venice on the date of the Constant Gardener premier, Grand Prize Winner will receive tickets to the premier. If the Grand Prize Winner is not in Venice on the premier date, Grand Prize Winner will receive tickets to an alternate premier in Venice in 2006, of Sponsor's option, if Grand Prize Winner is in Venice on the selected premier date. With the specific exception of the September 2005 tours dates that coincide with the Venice International Film Festival, the Grand Prize Winner will be required to choose his/her dates with a minimum of 45 days prior to departure. Reservation of space for preferred travel dates is subject to tour and air availability. Airline(s) chosen at Sponsor's sole discretion. Certain blackout periods and other restrictions may apply. Actual value of prize may vary based on timing and point of departure. Grand Prize winner is responsible for all expenses and taxes not included in the prize package stated above, including, without limitation, all ground transportation (other than the ground transportation included in the prize package), parking, meals, room service, souvenirs, phone calls, incidentals, tips, and other personal expenses.

The Sweepstakes Entities shall not be liable to Grand Prize Winner or any other person for failure to supply the prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal) labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsor's sole control. In the event of sabotage, computer virus or any of the above events or other causes beyond the Sponsor's reasonable control which corrupt the integrity, administration, security or proper operation of the Sweepstakes, Sponsor reserves the right to cancel or suspend the Sweepstakes. In the event of cancellation, prize will be awarded from among all eligible, non-suspect entries received prior to the event requiring such cancellation. Notice of cancellation will be posted at www.cnn.com/entertainment.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any contestant and Sweepstakes Entities, shall be governed by, and construed in accordance with the laws of the State of Georgia. In any action brought to enforce the obligation or right of any party hereunder they consent to personal jurisdiction and venue in any court of appropriate jurisdiction in Fulton County, Georgia, USA. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision.
