Upgrades for sale for gold, but not for Diamonds?
My buddy is Gold. We were traveling on the same flights, but different itineraries. he was checking his flight about a week out, and got an offer to upgrades both ways on all legs for about $90. I'm Diamond. Never saw that offer after viewing my itinerary shortly afterward. Never got upgraded. Not cool, Delta.

Also is dependent on being a ticket purchased directly from DL. TA, OTA, Corporate tickets, etc don't get them since requires a ticket reissue.

I almost never see them when I book V fares. My guess is that they are more common on the higher fare classes. It would be helpful to know OP's and companion's original booking classes and if they were the same. Without that, we are just left speculating. Someone could do something crazy and start a wiki here to document them (original fare class, upgrade price, upgrade fare class, etc.).
Okay, I just got lucky and found one for one of my future itin's in Feb. Original booking class and price: V fare, $105.60. Uprgrade offer $554.00. Current pricing for F on same flights - $659.60 (H-UP fare). In other words, the upgrade price is the exact difference between what I paid and the price for a brand new F ticket. Unfortunately, the fare rules link on my upgrade offer don't show any details. But I think's it safe to assume it's just the F fare (HATNA0FE) I see when I go to book a new ticket given that the price diff matches.

There's a main thread about this. Search for FCM. Basically the system offers at random, and the prices are random. One time you could get really cheap, the next time really expensive, etc.

I see upgrade offers when I check in for my tickets bought through corporate travel agent, but I've never done it. It does look like it will let me use my personal card, rather than my corporate card which paid for the original ticket.

Comp upgrades are just a change in the reservation. No reticketing is done.

I know the charge on my credit card comes from delta, not the TA so maybe it is direct.
