Historically, upgrades from Gold to Platinum (personal or business) offered a smaller bonus, but required no spend. These larger contingent offers are relatively new. Previously holding the same card has no effect on eligibility for an "upgrade" offer.
Prorating the annual fee is simple arithmetic. They will divide the Gold annual fee by 12, and refund the unearned months. They will bill the full Platinum fee. |

You are not eligible if you have previously held the card. It does not matter if you did, or did not, earn a bonus. That said, it isn't clear if American Express' system accurately tracks changes between Green, Gold and Platinum for bonus purposes. I can only say that accepting this offer might disqualify you from a future Business Platinum offer. (Targeted Business Platinum offers as high as 250,000 points have been reported.)
