I was looking at that and that didn't seem to make sense. The "next best available" is in the middle of a a list. The commas are confusing the sentence.

The 1st sentence essentially boils down to "Gold Hilton Honors Members may be upgraded to preferred rooms up to Executive Floor room types."

The 2nd sentence - "Preferred rooms may also include those not on the Executive Floor but conferring Executive Lounge access (excluding the Sakura Club at Conrad Washington, D.C and Club Signia at Signia by Hilton hotels), the next-best available room types, rooms with desirable views or amenities or other rooms identified as “preferred” by the hotel and may vary within each brand."

Breaking it down to bite size portions.

Preferred rooms may also include:
  • those not on the Executive Floor but conferring Executive Lounge access,
  • the next-best available room types,
  • rooms with desirable views or amenities or other rooms identified as “preferred” by the hotel
The 2nd sentence just seem to define what a "preferred room" is in the 1st sentence. So if we took "next-best available" as the upgrade policy, does that mean if rooms are Base->Deluxe->Executive and Deluxe is not available but Executive is, then Gold can be upgraded Executive?
