Didn't realize you had become a lawyer. ;) So as a lawyer, let me correct you on something you may not be aware of - The Uniform Commercial Code is a model code, that then has to be adopted by each state individually to have legal authority (49 of the 50 have - Louisana, with its preference for the old Napoleanic Code has not). There is no UCC that the Federal Gov't has adopted. The closest the U.S. Code comes is Title 15 (Commerce and Trade) - which nowhere is an adoption of the UCC. So, the UCC may govern - but then it may not. Plus, Article 2 of the UCC does allow for unilateral termination of a contract. Someone who actually handles UCC issues on a regular basis may want to wade into this.
