I'm not very familiar with Canon, but here are a couple of points to consider:

Full-Frame vs. 1.6: Do you like tele or wide? That's a big consideration. You get 12 MP in a full frame sensor with the 5D or 10 MP in the 1.6x crop sensor in the 40D. This means less noise with the 5D (unless the sensor has been very improved).

Electronics: The 5D is several years old. The 40D is fairly new. The 5D will have much older electronics than the 40D. Take a look into this.
