I don't see what the big problem is. I just upgrade myself then surrender the seat to my companion--and I go enjoy myself in the back! (I have done this on a couple of occasions with my wife and my mom). That way I get upgrade priority and don't have to worry about silly rules. Have never had problems on board afterwards.
