I would simply not overbook First Class, then there is no need for a downgrade.

Remember a news item a couple years ago, when Bernie Ecclestone had a paid F ticket LHR to SYD with Quantas, when F was overbooked and Bernie didn't get his F BP. He declined to fly down in BIZ for the F1 race then. Guess this incidence was no good advertisement for Quantas...
