They will look at status of companions when upgrading; preferred companions going before non preferred as far as I am aware. Someone else may clarify, in particular the issue of buying upgrades for $150 with OLCI.
I believe elites are able to upgrade
one non-preferred companion on the same reservation based on their elite level. If there aren't enough seats for everyone together in your reservation, they won't process anyone's upgrades, IIRC.
