Rules for KeyBank's KeyMiles® Debit Card Program

If you have a MasterCard branded debit card issued by KeyBank National Association or its affiliate (collectively, "KeyBank") with its KeyMiles® service mark, and co-branded with marks of Continental Airlines, Inc. ("Continental Airlines"), (as co-branded, the "Card"), you will earn OnePass® mileage for each eligible purchase of goods or services (collectively, "Purchases") made by your using the Card, subject to the terms and conditions below. Your use of the Card will represent your acceptance of, and agreement to comply with, these Rules and all future amendments hereto. The term "you" means the individual signer on the Checking Account who uses the Card.

1. You must be a member in Continental Airlines' OnePass award program to earn OnePass miles. If you do not have an OnePass Account number, one will be assigned to you by Continental Airlines upon issuance, and you authorize KeyBank to forward your name and address to Continental Airlines for the purpose of establishing a Continental OnePass account.
2. A $30 annual membership fee will be accessed to your Checking Account if you participate in KeyBank's KeyMiles Debit Card Program.
3. You will earn one (1) OnePass mile for every two dollars ($2) in Purchases made using your Card. OnePass miles will be credited to your OnePass Account on a monthly basis, after deducting credit adjustments, if any, regarding Purchase transactions with your Card.
4. You must have signature authority on your KeyBank Checking Account from which funds are withdrawn to pay for Card transactions ("Checking Account").
5. A maximum of five (5) Cards may be issued per Checking Account.
6. You will only earn OnePass miles on Purchases as long as KeyBank, in its sole discretion, determines that your Checking Account is acceptable to KeyBank and is eligible for participation in its KeyMiles Debit Card Program. An ineligible Checking Account includes, without limitation, an account that is frozen, restricted, closed, terminated, expired, inactive, dormant, has a legal status, or an account that is subject to litigation or any adverse (or conflicting) claim of any third party.
7. A maximum of 80,000 OnePass miles per Checking Account may be earned annually by making Purchases.
8. OnePass miles are not earned by any use of the Card for cash advances (including ATM and check transactions), teller withdrawals, checks paid (including check truncation or electronic checks), point-of-sale cash back transactions greater than the purchase amount, annual fee for the Card, returned checks and other adjustments to your Checking Account.
9. Each Checking Account must have a unique OnePass Account number except for two situations:
(a) Multiple Cards issued on a joint Checking Account have the same OnePass number, and
(b) If you have more than one Checking Account in the exact same name, you may have Cards issued on those Accounts, each of which may be associated with the same OnePass number.
10. You will receive bonus miles upon payment of an annual $30 initial membership fee. Annual fees are nonrefundable. You authorize KeyBank to automatically charge your Checking Account for this fee. KeyBank may change the amount and conditions of its offers for miles under its KeyMiles Program from time to time without notice.
11. Use of OnePass miles is subject to the terms and conditions contained in the OnePass Member's Guide, and related member agreements and advisories, published and amended by Continental Airlines from time-to-time (collectively, "Guide"). If there is any express or direct conflict that is unacceptable to KeyBank between the terms of these Rules and the provisions of the Guide, these Rules will control your rights and duties with respect to KeyBank. Any redemption of OnePass miles is subject to the terms of your OnePass Account and the Guide.
12. You are responsible for any sales/use tax liability of rewards you may receive related to your participation in the KeyMiles Debit Card Program and the Continental OnePass Program.
13. OnePass miles are not redeemable in cash. OnePass miles do not constitute credits to your Checking Account and cannot be offset against your obligations to KeyBank.
14. KeyBank is not responsible for, and has no liability regarding, any disputes involving joint Checking Account holders or authorized users of the Card relating to OnePass miles, disputes involving your participation in or redemption of points under the Continental OnePass Program, or your use of any services or goods purchased from Continental Airlines, its affiliates or alliance partners under the Continental OnePass Program.
15. You may discontinue your participation in the KeyMiles Debit Card Program at anytime without notice. Key reserves the right at any time without notice to (a) disqualify any Card holder from participating in KeyBank's KeyMiles Card Program; (b) reduce or eliminate all OnePass rewards earned (but not yet credited to your OnePass Account) by use of the Card; (c) add to or modify the terms and conditions of these Rules, (d) discontinue KeyBank's participation in the Continental OnePass Program; or (e) terminate or modify its KeyMiles Debit Card Program.
16. These Rules are supplemental to KeyBank's then current debit cardholder agreement and applicable Electronic Funds Transfer Disclosure.
17. These Rules are governed by the laws of the State of Ohio, without regard to its conflicts of law principles. KeyBank's KeyMiles Debit Card Program is void where prohibited by law.
