The times I've been upgraded to a higher class car, my rental agreement still reflected that I paid for a car in the class that I reserved. If the upgrade doesn't change the class paid, I don't think there would be a problem.

I agree with your interpretation: if your reservation and rental agreement says "Class C", it doesn't matter what car they give you IF *avis* gives you the upgrade because you're Preferred Select or whatever. But the OP is probably in trouble if HE requests an upgrade and the reservation is somehow changed to reflect, say, a "Luxury" class car (which happens now and then: aren't you asked occasionally by the clerk "Would you like to upgrade this to a ______?" in an attempt to upsell you? If you bite, the class of car on the r/a gets changed every time).
