As others have noted, almost never take the counteroffer. The only exception I can think of is if you're out of free rebids, you don't have another account you can use and you can't wait three days to start over.

A counteroffer is useful information, though. It tells you that i) PL does have inventory for you and ii) your bid is getting close to the acceptance point.
