AFAIK upgrade offers always take the price for seat reservation into account - so when you have a 200€ seat reservation paid the upgrade price for you will be the upgrade price less the 200€. (e.g. if the regular upgrade price is 1000€ and you have the 200€ seat reservation you will be offered the upgrade for 800€)
If you cancel a booking you will get the fee refunded if you had a refundable fare.
