No Purchase Necessary to Enter or Win

1) How to Enter: No purchase necessary. The One Night, One Star, Usher Live Sweepstakes (the "Sweepstakes") begins at Noon Eastern Time (ET) February 2, 2005 and ends 08:59:59 AM (ET) on February 28, 2005 (the "Promotion Period"). To enter go to www.sho.com, and go to the sweepstakes entry page, complete the entry form and submit as instructed during the Promotion Period. A total of one entry allowed per day per person and per e-mail address. The Sponsor, Administrator, and any Internet access providers, their respective parents, affiliates, divisions, and agencies and each of the foregoing entities' respective employees, officers, directors, shareholders, and agents (the "Released Parties") are not responsible for incorrect or inaccurate transfer of entry information, human error, technical malfunctions, lost/delayed data transmissions, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software or any combination thereof, inability to access web sites, damage to a user's computer system (hardware and software) due to participation in this Sweepstakes or any other problem or error that may occur. By entering, entrants agree to be bound by these Official Rules.

2) Judging: One (1) Grand Prize Winner will be selected in a random drawing from all eligible entries on or about February 28, 2005. The drawing will be conducted by AC Marketing (Administrator), an independent judging organization whose decisions on all matters pertaining to the Sweepstakes are final. Using only the daytime telephone numbers and corresponding entrant names on eligible entries, AC Marketing will attempt to contact a potential grand prize winner by telephone beginning February 28, 2005 on or about 3 PM ET. Any subsequent call attempts will continue until a potential grand prize winner is contacted. No voicemail or answering machine messages will be left. Successful telephone notification will be followed by written confirmation via overnight mail and/or facsimile. The potential grand prize winner will be required to sign an affidavit of eligibility and liability release and where legal, a publicity release and return same, properly executed via fax within 24 hours of issuance followed by the properly executed documents returned to AC Marketing via overnight mail using supplied, pre-paid mailer. Failure by the potential winner to respond or return documents as specified, or if prize notification forms are returned as undeliverable the entry will be disqualified and if time allows, an alternate winner selected. Odds of winning depend on the total number of eligible entries received. Acceptance of the prize constitutes permission for the Sponsor and its designees to use winner's name and likeness for advertising and promotional purposes without additional compensation unless prohibited by law. If, in the Administrator's opinion, there is any suspicion or evidence of tampering or technological corruption of the Internet portion of the Sweepstakes, or if the security, integrity or proper play of the Sweepstakes is compromised in any way, the Administrator reserves the right to modify, suspend, and/or terminate the sweepstakes and/or void any suspect entries, and award the prize using all non-suspect eligible entries received as of such termination date. In the event of a dispute as to who submitted an online entry, the entry will be deemed submitted by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" is defined as the person assigned to an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the email address in question. Any attempt by an entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.

3) Prize: One (1) Grand Prize. Prize consists of a 3 day/2 night trip for two to Puerto Rico, consisting of round-trip coach air transportation, provided by Orbitz, from a major airport near winner's residence (Sponsor's choice), standard hotel accommodations (double occupancy), 2 front row tickets to the One Night, One Man, Usher Live Concert on March 6, 2005, attendance at a meet and greet with Usher, and airport/hotel and hotel/event location transfers in Puerto Rico. Approximate Retail Value (ARV) of trip: US$2,500. Grand Prize winner and his/her travel companion must travel together on the same itinerary. Any other expenses not specified herein are the sole responsibility of winner. Actual value of Grand Prize depends on residence of winner, and air fares at time of booking. Additional restrictions apply to Grand Prize travel. Winner must travel on March 5-7, 2005 so that he/she may attend the "meet and greet" as well as the One Night, One Star, Usher Live Concert. If winner is unable to travel on such dates, prize will be forfeited in its entirety and an alternate winner will be selected. "Meet and greet" and concert are subject to availability and in the event that either is canceled, postponed or otherwise not available for any reason, the liability of Sponsor and its agents shall be limited to the remaining components of the prize. Prize is non-transferable; no substitutions or cash equivalents allowed, except at the discretion of the Sponsor. First Prize (25): Usher Gift Pack. Usher Gift Pack includes an Usher concert t-shirt from the One Night, One Star, Usher Live concert and a US$25 F.Y.E. Gift Card. Approximate Retail Value (ARV) prize US$50 each. Total value of prize pool is $3,750. Each participant agrees to release, discharge, indemnify and hold harmless the Released Parties from any & all claims or liability in connection with participation in this promotion or acceptance or use of any prize.

4) Eligibility: No purchase necessary. Sweepstakes open to U.S. citizens legally residing in the 50 United States and the District of Columbia, 21 years of age or older. Employees of Showtime Networks Inc., Orbitz LLC., Transworld Entertainment Corp., AC Marketing, their respective parent companies, subsidiaries, affiliates, advertising and promotional agencies and their immediate families (spouse, parents, children and siblings and their respective spouses) and household members of each are ineligible. Sweepstakes subject to all applicable federal, state and local laws and regulations. Void in Puerto Rico and where prohibited.
