1. Upgrade priority is the same for PlusPoints and Miles & copay.
2. Nothing. As Gold, you still have lounge access. If upgrade is cleared, you can visit Polaris lounge.

if you buy premium economy tickets (on UA metal), you will have higher upgrade priority.
