Not 100% sure, but isn't that because the requirement of the companion pass is that the person to who it is issued has to be one of the passengers?
[added later] Slightly different than I thought, here's the T&C: "Traveler and/or purchaser name must match the name issued on the discount code" - so this is indeed correct, person issued to has to pay if not a passenger.
