Chance of getting a First Class upgrade?

I am booking a flight for my husband and myself from SEA to New York (any airport) using a companion fare certificate. We cannot book in First, but we can book a First Class Upgrade for an extra $200 (for both of us). However, all the flights but the red-eye (which is not an option for us) say the First upgrades are “waitlisted”. What are the chances we will actually get into First? Right now the flight we want shows no First seats actually booked.

I have never tried this before but I am tempted, as my husband in particular hates being seated next to an overly large person like he was on his most recent trip to NYC. The extra $200 is less than the cost of two seats in Premium Class ($268). Or I could just take Exit Row seats and hope for the best.
