No, they do not NEED to negotiate a deal with HA. They WANT to negotiate a deal with HA. Saying they need to negotiate a deal implies they are an overeager buyer who wants HA at any price, signals they are willing to overpay.

If you are an ALK shareholder, then no deal is a far better outcome for you than a bad deal.
