American Express - idle threat or new rules?

Been a long time since I cancelled an Amex card, but Mrs C just signed up for a 60k bonus offer so was about to cancel my same card which I have held for 5+ years and as my new year starts in mid October it makes sense to avoid the £250 fee about to be due.

Whilst conversing with the chat agent at Amex today, I was told that they reserved the right to cancel my companion voucher (recently issued) if my card was not active when I booked travel on the new voucher? I had thought that because my wife will fly with me when we get round to booking she would just need to pay for any fees on her new Amex BA Plus card?

Is this an idle threat or a new Amex companion voucher ethos to stop people getting the bonus?
