FWIW, I downgraded to the free card in the hope of getting an upgrade offer, and never got one. (Then the Food and Beverage Credit fiasco hit, and it wasn't nearly as important.) Perhaps the Amex algorithms will treat you differently, but I wouldn't count on it.
