In my experience, it's extremely rare. The upgrade offer is based on the route fare differential modulo current inventory in First, plus a weirdly calculated excess. In practice, that would make it difficult to be less than the difference in fare, except possibly when F is far more open than Y. I try to avoid paying for very expensive tickets so I don't have a lot of experience there.
