Reading through the other comments, it looks like there's a strong consensus on taking the downgrade. I wonder if AA has done vonsumer research on this - e.g., if AA had originally offered me $100, I would have said no.
I do wonder how these things are calculated. I got a similar offer at ~T-20 hours for downgrading on DCA-BOS last summer (they offered $300, I greedily asked if they could go any higher -- though I would have been willing to take $300 had they not budged -- and they upped to $350). DCA-BOS is a lot shorter than LAX-DFW though...
