Not sure if there is any restriction on the upgrade offer, but one is not supposed to be eligible for more than 1 Bonvoy-related (Chase or Amex) bonus within a 24-month period. Perhaps the upgrade offer doesn't count as "SUB", but I would verify before proceeding, assuming you need to make minimum spend for the upgrade offer.
