So personally, unless you are in excess of 6ft 8 inches tall, I think you are better off selecting a seat three quarters of the way down, and if you are Silver, and depending on loads, Theoretical Seating will give you overall a better experience.

But to answer your questions: if you cancel, there is no refund. If you upgrade then you can either use the money towards the CW seat, or get a refund (which if Silver is effectively the only option).
Also, the exit rows on the A321 in that configuration don’t really have windows. I’d never sit there myself.
