Get the fee's waived every year, and usually with good retention offers, though the last two or three have simply been waive the fee for $1000 spend. But I've never heard of not being able to be passed to retention. I called twice. Once on Saturday, again on Sunday. And in both cases they said they would see if they could transfer me to retention, and in both cases said they could not. I asked about criteria and they said they have none, that one is simply flagged as being able to be passed to retention or not. Only option was to downgrade card(s).
