There’s a difference between giving up an upgrade and trading seats with someone (i.e. two pax traveling together and only one upgrade clears so the upgraded pax lets their traveling companion sit up front and they sit in the back or the same with giving your F seat to a service member in uniform) and imho, this is a case of the latter
