The co-pay doesn't get charged until you get upgraded. If you haven't been upgraded, just call and cancel the upgrade.
I would infer from the post that the upgrade has already been processed on current flight but that there is no C class availability on the new flight
Assuming that this is the case, then my understanding is that the co-pay is non refundable

but that the upgrade can be transferred across to the new flight if there is availability. If C opens up there would not be another $350 to pay, but if it doesn't , then the $350 paid will have been lost
