Lots of similarities.

Azul Linhas Aéreas Brasileiras S/A was founded on May 5, 2008 by Brazilian-born, dual U.S. - Brazilian citizen David Neeleman, founder JetBlue, Morris Air and WestJet and part owner of TAP Portugal.

Azul bought out TRIP, and is adding A320neo (35 purchased, 28 leased) as well as 30 Embraer E195-E2. United Airlines has invested $100 million, and the parent company of Hainan Airlines is investing $450 million. Codesharing with TAP and UA. (Wikipedia source)

Neither ripoff nor fly by night, I think.
