Assuming you have the certificate in hand all this information is clearly set out in microscopic text on the back, along with lots more fascinating reading. [Same is true for the back of the Aeroplan upgrade certificate.] It is always worth turning these pieces of paper over and hiring a lawyer to go over the fine print with you.

However, more to the point, term 3 states that "Upgrade certificates are not eligible for this offer on both the paying ticket and the companion ticket".
