My understanding is that this provision would violate DOT regulations. I think DOT requires that passengers requesting full refunds when the operating carrier changes be given such refunds without any fees. Of course, this would apply only to airlines/flights/tickets/itineraries covered by DOT's regulatory authority, but that wouldn't seem to be a problem here.
