Agreed, it does count with traditional rentals made on Priceline (not on Name Your Own Price or ExpressDeals). Just make sure to enter your #1 Club number on Priceline, or failing that, have the rep add it at the counter.
As for taxes & fees, they don't always match between the OTA's like Priceline and Hertz.com directly, but they usually don't vary more than $1 or so. You can always take your Hertz confirmation number from Priceline and bring up the reservation at Hertz.com to confirm both that your #1 Club number is on the reservation (if so, you will be asked to login if you try to modify the reservation), and the final price including all taxes and fees.
