Now that you and your friend understands the difference between upgrade and upsell, I hope my post would help you next time you fly...Thats all.
Also note, upsell is not offered on all flights there are lots of operational factors. The 'load' for the flight I believe is the most important one. The reason why I say this because I know how airlines try and recover their huge ops/fixed costs.
