I think we are misunderstanding the term illegal. I seriously doubt there is a law on the books which makes it a crime for two people to exchange seats, with or without consideration.

As for what happens in the probably EXTREMELY unlikely event someone backs out after accepting payment, then I think you have a verbal contract and are entitled to specific performance.
