The "debtor" financing that GE Capital has agreed to lend AC is fully secured and they get first dibs on assets should it come to liquidation. Really all that they are doing is hedging their bets. If I was a betting person I would bet that the management clause is a one way deal. That is as part of the deal the management team has agreed to stay but GE can terminate the agreement at any time if they chose to and fire them individually or as a team.
