I can't answer your question about the price, but I can shed some light on the fee issue, as I dealt with this just a week ago.

Regardless of whether you're on the same PNR or not, you won't pay a fee to upgrade him (or anyone else), as long as the miles you're using are coming from your (Preferred) account.
