I am not sure if the same rules apply to miles + cash upgrades, but with GPUs, if the non-overwater segment doesn't clear, you get the GPU back. In other words, if you're waitlisted on IAD-EWR-BCN, and EWR-BCN never clears but IAD-EWR does, you don't get charged for the upgrade.

Could be different with miles + cash; it's been a few years since I used one of those (2011).
