The upgrades are coming from award availability. If none then the GC agent you get through to can go to request seats for you and for their Elites they usually do all they can to accomodate.

The companion ticket comes from the same class as you book . If you book S class they book your companion in the same and just charge you the taxes and fuel surcharge.
