Finally and (perhaps most significantly) MOL has made many enemies in EU political circles over the years.
I am not sure that this is the most significant issue. The politicians are bound by the same rules and could find themselves in serious hot water with the ECJ if they are seen to be exacting revenge on MOL.
Overall however this deal would seem to have too many legitimate problems for it to gain approval, but you never know with Europe.
