The only downside is that she will not get an upgrade if there aren't two seats available if you link your PNRs.
The other downside is that the AS Gold is already on the waitlist. A request to add yourself as the companion for upgrades will remove that waitlist request so that the pair of you can be re-added at the bottom of the waitlist.
