Similar Flights both V fare only one upgrade eligible. Why?

I'm looking at two itins SFO-LHR-SFO on the same days. The itin with direct flights is "not eligible" for an upgrade. An itin that has an LAX layover both directions is eligible. All segments in both cases are V class. I didn't see any evidence any flights on different metal. What is different? Thanks
