If the underlying fare you originally paid earns miles and TPs as normal, then taking up a proactive upgrade offer like this means that you should earn CW miles and TPs despite the fact that it's booked into U. But you will very probably have to retro claim them after you've flown and they've wrongly credited as 0/0. It's no bother, really, particularly if you're expecting to have to do it.
