The only negative I can think of (not that I know much about the deal) is that they're probably more restrictive at AA and US clubs about the number of guests you can bring in. Also you probably have to be flying those airlines that day to get access, which isn't really a problem for me anyway.

No real downside. QF club costs $300 US to join and is about $130 US to renew. QF has a deal right now that gets you some bonus points also when you join. I would be happy to refer you if you were going to join .
