The vouchers that are sent should be able to be used 1 year from the re issue date. The vouchers can be use by anyone but you need to be at the ticket counter to sign them over to the other person.

Also I believe that the seat upgrades are non ref but you can check the UA web site under seat upgrade refunds to make sure.
