When I coverted over from my WP card, my offer was similar. I don't think I had the additional cardhold offer. As for the class restriction, I'm on the road so I can't check but iirc LUT was on the table, but of course there was limited inventory clause.
The downside, as has been written about a zillion times, is that it's a AE card as opposed to a VISA.
