I would guess that she's just trying to lower your expectations. And I think you mean selling seats, not selling upgrades, as Upgrades For Cash (UFC) aren't supposed to happen when there are folks on the waitlist (though of course they do in many people's experience). Don't let her get to you, but do listen to her if she provides data such as the number of seats sold and the number of folks on the waitlist. I certainly clear NC and NF waitlists all the time, but that doesn't mean much for a 2P.

Separate itineraries would be the best play, in my opinion. If there really is just one seat left (and you should call to confirm), neither of you will get the upgrade, and a single upgrader behind you can take it.
Further, according to conventional FT wisdom, it should not change the odds of you clearing ORD-CDG, either, as the waitlist is first-on-first-off before the gate and sorted by status (regardless of being the same record) at the gate.
