AA allows you to upgrade one campanion as well. There are no restrictions that I am aware of. They will upgrade you and your companion as soon as your upgrade window opens. You can set it up in advance to automatically happen (availability of course!) on their system. If you don't have enough upgrades in your account, you can purchase more that day at the airport.
