DL would have to file bankruptcy to end the merger without the consent of either airline. Otherwise, DL and NW could basically choose to walk away at any point.
The poison pill is $165 million, which neither airline can really afford at this point, especially when regulatory approval and labor negotiations are moving forward smoothly.
Walk away? NW has sacrificed CO's golden share......and to walk away? I think not. NW will not let DL walk away from this merger.
